1. Agreement to Terms

By accessing or using messha.io, our client portal, or any of our services, you agree to be bound by these Terms of Service. If you do not agree, you are prohibited from using our services. These terms apply to all visitors, users, and clients.

2. Description of Services

Messha LLC provides website design and development, branding and design services, hosting and maintenance (Care), SMS notifications, and related digital services for small businesses and creators. Services are delivered through messha.io and our client portal.

3. Eligibility

You must be at least 18 years of age to use our services. By agreeing to these terms, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

4. Accounts and Client Portal

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@messha.io if you suspect unauthorized access.

5. Payment Terms and Subscriptions

One-time services (including Launch and Expansion projects) require full payment or agreed-upon project fees prior to kickoff unless otherwise specified in a custom quote. Recurring services (Keep and Keep+) are billed automatically on a monthly or annual basis as selected during signup. All payments are processed through Stripe. Fees and deposits are non-refundable once work has commenced or a billing cycle has started, except as outlined in our Refund Policy.

6. Mobile Messaging Terms (SMS)

If you opt in to receive text messages from Messha LLC via our web forms or client portal, you agree to receive transactional, account update, and customer support SMS messages.

• Message frequency varies based on your account activity and support requests.
• Message and data rates may apply.
• You can opt out of SMS communications at any time by replying "STOP" to any text message.
• For help, reply "HELP" or contact legal@messha.io.
• Opting in to SMS is completely optional and is not a condition of purchasing any services.

7. Intellectual Property

Upon receipt of final payment, you own the customized deliverables created specifically for you. Messha retains ownership of underlying tools, proprietary frameworks, and pre-existing code. Messha retains the right to display completed work in our portfolio unless you request otherwise in writing prior to project kickoff. You represent that any media or content provided to us does not infringe on third-party intellectual property rights.

8. Limitation of Liability

To the fullest extent permitted by law, Messha LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising from these terms or our services shall not exceed the total amount paid by you to Messha LLC in the six (6) months preceding the claim.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely immune to security threats.

10. Governing Law

These Terms of Service are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any legal disputes shall be resolved exclusively in the state or federal courts located in Wyoming.

11. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of our website, client portal, or services following posted updates constitutes your acceptance of the revised terms.
